1. About These Terms
These Terms of Service (“Terms”) are a binding agreement between tandpay LTD, trading as TandPay, a Private Company Limited by Shares registered in Rwanda under TIN 155683751 on 2 February 2026, with its registered office at 1 KN 78 Street, Imena Village, Kiyovu Cell, Nyarugenge Sector, Nyarugenge District, City of Kigali, Rwanda (“TandPay”, “we”, “us” or “our”), and each person who accesses or uses the TandPay service.
TandPay is a Rwandan software platform for social-commerce transactions. Payment processing in Rwanda is provided through pawaPay by QuidexPlus Rwanda Limited, a payment aggregator licensed by the National Bank of Rwanda. TandPay does not hold customer funds and is not a bank or licensed payment service provider.
By registering an account, initiating or receiving an order, making a payment, confirming delivery, or otherwise using TandPay, you agree to these Terms and the Privacy Policy. If you do not agree, do not use the service.
2. Definitions
- Seller: A person or business that creates an order or payment link through TandPay.
- Buyer: A person who pays for a seller’s order through the TandPay flow.
- Order: The transaction record describing the product or service, amount and related details.
- Protected Payment: A payment processed through the payment partner that remains in the provider-managed flow until the applicable delivery-confirmation or refund conditions are met.
- Delivery Code: The six-digit transaction code used by the buyer to confirm physical handover after inspecting the item.
- Payment Partner: pawaPay by QuidexPlus Rwanda Limited. QuidexPlus Rwanda Limited is a payment aggregator licensed by the National Bank of Rwanda.
- Seller Fee: The fee deducted from a completed seller payout, as published in the pricing section.
- Buyer Fee: The protection fee shown to the buyer before checkout.
3. Eligibility
To use TandPay, you must be at least eighteen (18) years old, have legal capacity to enter a contract, and use a supported Rwandan Mobile Money account. Sellers may also be required to provide identity, business, payout and compliance information.
You must provide accurate information and keep it updated. You may not impersonate another person, use an account without permission, or evade an account restriction.
4. How TandPay Works
When transactions are enabled within an authorized operating scope, the intended flow is:
- The seller creates an order or payment link and shares it with the buyer.
- The buyer reviews the order and initiates payment through MTN MoMo or Airtel Money.
- Payment is processed through the Payment Partner and remains protected in the provider-managed flow. TandPay does not hold customer funds.
- TandPay displays the verified payment status to the parties.
- The seller delivers or hands over the item.
- The buyer inspects the item before entering the Delivery Code.
- Valid delivery confirmation authorizes seller payment, less applicable fees.
- If delivery does not happen, the buyer should not enter the Delivery Code and should contact support while the payment remains protected.
TandPay may adjust operational steps to meet security, payment-provider, Mobile Money network, legal or sandbox requirements, provided that material changes are communicated where appropriate.
5. Fees
- The current Seller Fee and Buyer Fee are published in the pricing section and shown before the relevant transaction is completed.
- Unless otherwise stated, the Seller Fee is deducted from the seller payout and the Buyer Fee is charged at checkout.
- Creating an account or payment link may be free, while transaction fees apply only as described on the website or checkout screen.
- We may update fees. We will provide reasonable advance notice of a material change to active users where practicable and required.
- Taxes, Mobile Money charges or third-party charges may apply where separately disclosed or imposed by the relevant provider or law.
6. Payment Processing and Protection
- Payment processing in Rwanda is provided through pawaPay by QuidexPlus Rwanda Limited, a payment aggregator licensed by the National Bank of Rwanda.
- TandPay does not hold, store, safeguard or take custody of customer funds. TandPay supplies software, transaction records and instructions used in the protected-payment flow.
- Payment collection, protection, release, reversal and refund timing may depend on the Payment Partner, the relevant Mobile Money network, the transaction state, applicable law and any required review.
- A relationship with a payment or messaging provider does not imply that the provider endorses TandPay.
- Users must not attempt to bypass the protected-payment flow, manipulate payment status or submit false proof of payment.
7. Delivery Confirmation
- The Delivery Code is tied to the transaction and should be used only by the buyer after physical handover and inspection.
- The seller or delivery person must not pressure the buyer to confirm before inspection.
- The buyer must not enter the code if the item has not arrived or is wrong, damaged, incomplete or suspicious.
- Entering a valid code confirms receipt and authorizes seller payment under the transaction flow.
- Post-confirmation intervention may be limited because payment release may already have been instructed or completed. TandPay may still review suspected fraud, provider error, legal obligations or operational error.
8. Prohibited Uses
You may not use TandPay for illegal, fraudulent, abusive or unauthorized activity. Prohibited transactions include:
- Weapons, firearms, ammunition, explosives or related parts;
- Controlled drugs, unauthorized medicines or drug paraphernalia;
- Counterfeit, stolen or unlawfully obtained goods;
- Wildlife, protected species, ivory, human remains or body parts;
- Adult sexual services or unlawful explicit content;
- Gambling, betting, lottery or unauthorized financial products;
- Cryptocurrency, securities or investment products where the seller lacks required authorization;
- Hazardous, radioactive or prohibited chemicals and materials;
- Goods or services that infringe intellectual-property or privacy rights;
- Any product or service requiring a licence or authorization the seller does not hold;
- Money laundering, terrorist financing, sanctions evasion or attempts to disguise transaction purpose;
- Any activity that violates Rwandan law, payment-provider rules or these Terms.
9. Disputes and Support
- A buyer who has not received an item, or receives an item that is wrong, damaged or suspicious, should not enter the Delivery Code and should contact support promptly.
- TandPay may review the order, payment status, messages, delivery information and evidence submitted by the parties.
- TandPay may contact the parties and coordinate with the Payment Partner or Mobile Money network where needed.
- Possible outcomes depend on the transaction state and may include continued protection, seller payment, refund, account restriction or another lawful resolution.
- TandPay’s internal review does not prevent a party from pursuing rights available under applicable law.
- Users must submit truthful evidence and must not alter documents, screenshots, messages or delivery records.
10. Refunds
- A qualifying non-delivery refund is returned to the Mobile Money account used for the original payment, subject to the Payment Partner, network and transaction state.
- The Buyer Fee is not generally refundable once payment processing and protection have begun, except where required by law or where TandPay or provider error justifies a refund.
- Refund timing is not guaranteed and may depend on provider or network processing.
- If the original payment number is inactive, reassigned or unavailable, TandPay will provide reasonable assistance but cannot guarantee recovery from a third party who receives a misdirected refund.
- A refund does not automatically resolve a separate product, delivery or legal claim between buyer and seller.
11. Your Content
You retain ownership of descriptions, images, messages and evidence you submit. You grant TandPay a non-exclusive, worldwide, royalty-free licence to host, process, reproduce and display that content only as reasonably necessary to operate, secure, support and improve the service, comply with law and resolve disputes.
You represent that you have the right to submit the content and that it is accurate, lawful and does not violate another person’s rights. We may remove or restrict content that violates these Terms or applicable law.
12. Account Suspension and Termination
You may request account closure through the published support channels, subject to outstanding transactions and lawful record-retention requirements.
TandPay may suspend or terminate access where reasonably necessary for security, suspected fraud, prohibited activity, false information, repeated disputes, legal or regulatory obligations, provider requirements, non-payment of fees or material breach of these Terms.
Suspension or termination does not erase obligations or records that must remain for an active transaction, dispute, fraud review, tax, audit, legal claim or regulatory duty.
13. Privacy
Our Privacy Policy explains how TandPay collects, uses, shares, retains and protects personal data, including WhatsApp and messaging data. Users may submit deletion requests through the public Data Deletion page.
14. Intellectual Property
TandPay’s software, brand, interface, documentation and original content are owned by or licensed to tandpay LTD. These Terms do not transfer ownership to you. You may not copy, reverse engineer, resell, scrape, interfere with or create derivative services from TandPay except as permitted by law or written agreement.
15. Service Availability and Changes
Public transactions are currently paused while launch-readiness work is completed. Access may also be interrupted by maintenance, network problems, Mobile Money availability, provider restrictions, security incidents, legal requirements or events outside TandPay’s reasonable control.
We may modify, pause or discontinue a feature. Where practical, we will provide notice of material changes that affect active users or transactions.
16. Disclaimers and Limitation of Liability
TandPay provides transaction software and support but is not the seller, buyer, courier, manufacturer, bank or payment service provider. TandPay does not guarantee product quality, authenticity, legality, delivery time, seller performance, buyer behavior, continuous availability or that every dispute can be resolved to a user’s satisfaction.
To the maximum extent permitted by applicable law, TandPay is not liable for indirect, incidental, special, consequential or punitive loss, or for loss caused by a user, seller, buyer, courier, Mobile Money network, provider outage, unauthorized access outside TandPay’s reasonable control, or an event of force majeure.
Nothing in these Terms excludes liability that cannot lawfully be excluded, or limits statutory consumer or data-protection rights.
17. Indemnification
To the extent permitted by law, you agree to indemnify tandpay LTD against third-party claims, losses and reasonable costs arising from your unlawful use of TandPay, your breach of these Terms, your products or services, or content you submit, except to the extent caused by TandPay’s own unlawful conduct.
18. Governing Law and Dispute Resolution
These Terms are governed by the laws of the Republic of Rwanda. Before starting formal proceedings, the parties should attempt in good faith to resolve the matter through TandPay’s support and legal-notice channels. A party may still seek urgent relief or use any regulator, court or remedy available under applicable law.
19. Changes to These Terms
We may update these Terms to reflect service, legal, regulatory, security or provider changes. The current version and update date will be published on this page. Where required or appropriate, material changes will also be communicated through the service or registered contact details.
